1. Agreement
These Terms of Service ("Terms") govern access to and use of the Portline TMS service ("Service") provided by JSC Agrotreidas group, company code 306313503, VAT LT100015980919, registered at Jūrininkų pr. 33, LT-95225 Klaipėda, Lithuania. By using the Service you agree to these Terms.
2. Accounts
- You must provide accurate registration information and keep it current.
- You are responsible for safeguarding credentials and for all activity under your account.
- Each user account is for a single, identifiable individual.
3. Acceptable use
You agree not to:
- Use the Service in violation of applicable laws or third-party rights.
- Attempt to circumvent security, access controls, or rate limits.
- Reverse engineer, scrape or use automated means to extract data beyond ordinary use of the Service.
- Upload malware or content you do not have the right to process.
4. Subscriptions, payment and refunds
Paid plans are billed in advance for the chosen period (monthly or annual) and renew automatically until cancelled. You can cancel renewal at any time from your account billing settings or via the Paddle customer portal — you keep access to your paid plan until the end of the current billing period.
Reseller / Merchant of Record: our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries relating to billing and payment, and handles returns. Payment, billing, taxes and currency conversion are governed by Paddle's Buyer Terms.
Refunds are handled in accordance with our Refund Policy, which provides a 30-day money-back guarantee on first-time subscriptions.
5. Customer data
You retain all rights to data you submit to the Service ("Customer Data"). You grant us a limited licence to host and process Customer Data solely to provide the Service. We process personal data as described in our Privacy Policy.
6. Service availability
We use commercially reasonable efforts to keep the Service available. The Service is provided "as is". Specific availability commitments may be set out in a service level agreement attached to your subscription.
7. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenues or data. Each party's aggregate liability for direct damages will not exceed the fees paid by you in the 12 months preceding the event giving rise to the claim, except for liability that cannot be limited by law.
8. Termination
You may stop using the Service at any time. Either party may terminate the agreement for material breach not cured within a reasonable period. Upon termination, we will make Customer Data available for export for a reasonable period before deletion.
9. Governing law
These Terms are governed by the laws of the Republic of Lithuania. Disputes will be resolved by the competent courts of Lithuania, unless mandatory consumer protection rules provide otherwise.
